〔中央社〕東芝（Toshiba）今天宣布，已與美國貝恩資本（Bain Capital LLC）領頭的「日美韓聯盟」簽訂出售記憶體晶片部門的合作備忘錄（MOU），目標是本月底前達成最終協議。
彭博社報導，貝恩資本的陣營幾乎3個月前就被視為最可能成功的買方，但因法律訴訟、政府反對及東芝遲遲不做決定，導致進展受到拖延。
東芝在聲明中表示，簽署MOU並不會禁止他們與其他競標方協商。東芝副社長成毛康雄（Yasuo Naruke）說：「東芝意圖在儘可能最快的時間內，達成完全符合我們目標的最終協議。」
根據貝恩資本陣營6月宣布的原初收購提案，出價金額約2.1兆日圓（約新台幣5670億元），參加者包括日本政府支持的日本產業革新機構（INCJ）與日本政策投資銀行（Development Bank of Japan）。南韓晶片製造商SK海力士（SK Hynix）也參與這個競標團隊，但曾表示會限縮參與規模。
東芝若要成功出售晶片業務，必須克服合資企業夥伴美國威騰電子（Western Digital）的法律抵抗，因威騰宣稱有權干預東芝的任何交易，並向美國法院提出仲裁請求。這間位於加州聖荷西（San Jose）的公司也參與美國KKR為首集團的陣營，一同提案收購東芝晶片部門。
今天消息傳出後，威騰發布電子郵件聲明表示，對於東芝的行動感到「失望」，並且將繼續在國際商會國際仲裁院（ICC International Court of Arbitration ）推動與東芝間的爭議仲裁案。
另一個由鴻海領頭的收購團隊，目前也出價2.1兆日圓，且參與競標者包括蘋果（Apple）、軟銀（Softbank）及夏普（Sharp）。但日本政府官員之前表明，反對東芝晶片部門賣給與中國大陸關係密切的鴻海。
東芝需要在明年3月底前完成交易，才能堵住資產負債表上因美國核能業務減記造成的數十億美元大洞，同時避免股票遭東京證交所下市。
